By accessing the website or using our services, you agree to be bound by these Terms.

1. About Our Services

ShopivaEco provides technology infrastructure for connected banking and payments, including pay-in (collections), payout and disbursement APIs, reconciliation, settlement management, merchant dashboards, and payment orchestration (the “Services”). Shopiva Private Limited is a technology service provider. We are not a bank. Banking and payment services accessed through our platform are provided by regulated banking and financial partners, and use of such services is subject to the applicable partner’s terms and regulatory requirements.

2. Eligibility and Onboarding

The Services are intended for businesses, including banks, fintech companies, payment providers, partners, and merchants. Use of the Services requires successful completion of onboarding, including business verification and KYC checks required by law and by our partners. You represent that all information and documents provided during onboarding are true, accurate, and current.

3. Acceptable Use

• You may use the Services only for lawful business purposes.
• You may not use the Services for any activity prohibited by applicable law or by our banking partners, including money laundering, terrorist financing, or dealing in prohibited goods and services.
• You may not attempt to interfere with, disrupt, reverse engineer, or gain unauthorised access to the Services or their underlying systems.
• You are responsible for maintaining the confidentiality of API keys, credentials, and dashboard access issued to you, and for all activity under your account.

4. Fees and Commercial Terms

Fees for the Services are set out in the commercial agreement or order form executed between you and Shopiva Private Limited. Unless otherwise agreed in writing, fees are exclusive of applicable taxes and are payable in accordance with the agreed billing cycle.

5. Intellectual Property

All intellectual property in the website, platform, APIs, documentation, and related materials belongs to Shopiva Private Limited or its licensors. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from any part of the Services.

6. Confidentiality and Data

Each party will protect the other party’s confidential information with at least the same care it uses for its own. Our collection and use of information is described in our Privacy Policy.

7. Service Availability

We aim to provide the Services on a continuous basis but do not guarantee uninterrupted availability. Planned maintenance and factors outside our reasonable control, including outages at banking partners or networks, may affect availability.

8. Limitation of Liability

To the maximum extent permitted by law, Shopiva Private Limited shall not be liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, or data, arising out of or in connection with the use of the website or Services. Our aggregate liability shall not exceed the fees paid by you for the Services in the three months preceding the claim, unless otherwise agreed in a signed commercial agreement.

9. Termination

We may suspend or terminate access to the Services for breach of these Terms, suspected fraudulent or unlawful activity, requirements of banking partners or regulators, or non-payment of fees. Provisions relating to intellectual property, confidentiality, liability, and governing law survive termination.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Courts at Mumbai, Maharashtra shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to any dispute resolution process agreed in a signed commercial agreement.
